Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the websites, tools, certification programs, and related services (“Services”) operated by Impactful Product Partners, LLC (“IPP,” “we,” “us,” or “our”). By creating an account, purchasing a subscription, or otherwise accessing any Service, you agree to be bound by these Terms.

If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to “you” include that organization.

2. Description of Services

IPP provides a suite of product management tools, educational content, and certification programs designed to support product practitioners and their organizations. Services are made available through the IPP website at impactfulproductpartners.com and the IPP tool application at app.impactfulproductpartners.com.

3. Accounts and Access

3.1 Account Creation

To access certain Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Organizational Accounts

Where a subscription is purchased on behalf of an organization, the organization is the account holder. Seats may be assigned to and reassigned among individual users at the organization’s discretion. Access rights belong to the organization, not to any individual user. When a user’s access is removed, their seat returns to the organization’s available pool.

3.3 Account Security

You agree to notify us promptly at support@impactfulproductpartners.com if you become aware of any unauthorized use of your account. We are not liable for losses resulting from unauthorized access caused by your failure to maintain credential security.

4. Subscriptions and Billing

4.1 Subscription Plans

Subscriptions are offered at the Practitioner and Team tiers, with additional seat types available for Team accounts. Pricing, included features, and billing intervals are described on our pricing page at impactfulproductpartners.com/pricing and are subject to change with notice.

4.2 Billing

Subscriptions are billed in advance on a recurring basis at the interval you select (monthly or annual). By providing payment information, you authorize us to charge the applicable fees on the billing date. All fees are in US dollars.

Add-on seats for Team accounts are charged at a prorated amount for the remainder of the current billing cycle and at the full rate at the next renewal. The prorated charge is calculated on a daily basis from the date of addition to the account’s renewal date.

4.3 Billing Preference

Team account administrators may set a billing preference of monthly or annual. This preference governs the billing interval applied at each seat’s next renewal date. Changes to billing preference take effect at renewal and do not trigger immediate charges or credits.

4.4 Taxes

Applicable sales taxes are calculated and collected based on your billing location. You are responsible for all taxes associated with your subscription that we are not required to collect.

4.5 Failed Payments

If a payment fails, we will notify you at your billing email address. Access to the Services is not immediately revoked upon payment failure. Repeated or unresolved payment failures may result in suspension or termination of access.

4.6 No Refunds

All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. If you cancel a subscription, you retain access through the end of the current paid billing period.

5. Free Trials

Where a free trial is offered, no payment information is required during the trial period. At the end of a trial, continued access requires the initiation of a paid subscription. We do not automatically convert trials to paid subscriptions.

6. Cancellation

6.1 Subscriber Cancellation

You may cancel your subscription at any time through the account settings in the tool application. Cancellation takes effect at the end of the current billing period. Access continues through the period end date.

6.2 Account Closure

Closure of an organizational account requires action by an account administrator. If account closure would result in fewer than two active administrators, the system will prompt you to cancel the account rather than deactivating the remaining administrator. Upon account closure, all user access is revoked at the period end date.

6.3 Data Export

Prior to account closure, you may export your data in available formats. We recommend completing any desired export before initiating closure.

7. Ownership of Data

7.1 Your Content

Content you create using the Services — including capability maps, objectives, backlogs, and other artifacts — is created on behalf of your organization. By using the Services, you grant IPP a limited license to store, process, and display your content solely for the purpose of providing the Services to you.

7.2 IPP’s Rights

All content you enter into the Services is stored within IPP’s systems. IPP retains ownership of the platform, its architecture, and all aggregate, anonymized, and de-identified data derived from use of the Services. Authorship of individual artifacts is recorded in system event logs and preserved indefinitely, including after a user’s access is removed.

7.3 Restriction on Use for AI Training

You may not use, reproduce, distribute, or make available to any third party any content generated by IPP’s Services, framework materials, or proprietary methodologies for the purpose of training, fine-tuning, or otherwise developing artificial intelligence systems without IPP’s prior written consent.

IPP may use de-identified and aggregated interaction data to improve its own systems, tools, and methodologies. IPP does not use individually identifiable user content to train external artificial intelligence systems.

8. Intellectual Property

8.1 IPP’s Intellectual Property

All content, frameworks, methodologies, software, trademarks, service marks, and other materials provided through the Services — including the Impact Point℠, Capability Spectrum℠, Objectives Backlog℠, Five What-Ifs℠, Alignment Ceremony℠, and Development Backlog℠ frameworks — are the exclusive property of IPP or its licensors and are protected by applicable intellectual property laws.

The service marks Impact Point℠, Capability Spectrum℠, Objectives Backlog℠, Five What-Ifs℠, Alignment Ceremony℠, and Development Backlog℠ are proprietary marks of Impactful Product Partners, LLC. Unauthorized use of these marks is prohibited.

8.2 License to Use the Services

Subject to these Terms and payment of applicable fees, IPP grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the subscription term. This license does not include the right to resell, sublicense, reverse engineer, copy, or create derivative works from any IPP content or software.

8.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Services, you grant IPP a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

9. Certification Programs

9.1 Examination and Credentialing

Certification examinations are offered at the Practitioner, Associate, and Consultant levels. Fees for examinations and preparation materials are non-refundable once an examination has been scheduled or materials accessed.

9.2 Annual Renewal

Certifications are subject to annual renewal. Renewal fees are described on the certification page of our website. Failure to renew results in lapse of the credential and associated portal access benefits. Renewal fees are waived for qualifying contributors to IPP’s quality assurance review program, as described in the certification program documentation.

9.3 Revocation

IPP reserves the right to revoke a certification at any time if the credential holder is found to have engaged in fraudulent examination conduct, misrepresentation of credentials, or material violation of these Terms.

11. Suspension and Termination

IPP may suspend or terminate your access to the Services at any time if you materially breach these Terms and fail to cure the breach within ten (10) days of written notice, or immediately if the breach is not capable of cure. IPP may also suspend access where required by law or to protect the security or integrity of the Services.

Upon termination for cause, no refund of prepaid fees will be issued. Upon termination by IPP without cause, a prorated refund of prepaid fees for the unused portion of the subscription term will be issued.

12. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. IPP does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

The IPP framework and tools are designed to support product management practice. They are not a substitute for professional judgment. IPP makes no representation that use of the Services will produce any particular business outcome.

13. Limitation of Liability

To the fullest extent permitted by applicable law, IPP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services, even if IPP has been advised of the possibility of such damages. IPP’s total liability to you for any claim arising under these Terms shall not exceed the fees paid by you to IPP in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless IPP and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute arising under or relating to these Terms shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in Mecklenburg County, North Carolina. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.

16. Changes to These Terms

IPP reserves the right to modify these Terms at any time. We will provide notice of material changes by email to the address associated with your account or by posting a notice in the Services. Continued use of the Services after the effective date of any change constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
